LinguiLot Terms of Service

1. Eligibility

LinguiLot is intended for adults aged 18 years or older.

You may not create or use an account if you are under 18.

By using LinguiLot, you represent that you are at least 18 years old and legally able to enter into these Terms.

LinguiLot is not currently designed or marketed as a child-directed educational service.

2. About LinguiLot

LinguiLot is a language-learning platform that provides structured lessons, vocabulary and grammar practice, listening and speaking activities, stories, games, spaced review, progress tracking, and related learning tools.

The initial LinguiLot course teaches Spanish through an English-language interface. Additional languages, levels, features, and services may be introduced in the future.

LinguiLot is an educational resource. It is not an accredited educational institution, and completion of lessons, levels, assessments, or activities does not constitute an academic degree, professional credential, official language certification, or guaranteed CEFR certification.

3. Accounts

Some features require a LinguiLot account.

You agree to provide accurate information and to keep your account information reasonably current.

You are responsible for safeguarding your login credentials and for activity performed through your account.

You may not sell, rent, transfer, share, or commercially distribute your LinguiLot account.

If you believe someone has gained unauthorized access to your account, contact support@linguilot.com.

We may require email verification or other reasonable verification before providing access to certain features, processing sensitive requests, or restoring an account.

4. Google Sign-In and Other Authentication Services

LinguiLot may allow you to create or access an account using Google or another third-party authentication provider.

Your use of that provider is also subject to the provider's applicable terms and privacy practices.

Using a third-party login method does not transfer ownership or control of your LinguiLot account to that provider.

5. Free Access

LinguiLot may provide a Free plan with access to selected learning content and limited use of certain features.

Current Free limits are displayed within the Service or on the pricing page.

Free features, limits, and available content may change over time.

Changes to the Free plan do not remove learning progress already associated with your account, although access to particular content may change.

6. Premium Subscriptions

LinguiLot may offer Premium Monthly and Premium Annual subscriptions.

The features included in each subscription are shown before purchase.

Subscriptions are processed through Stripe or another payment processor identified during checkout.

By purchasing a paid subscription, you authorize the applicable recurring charges disclosed at checkout.

Automatic renewal

Unless otherwise stated at checkout, paid subscriptions automatically renew until canceled.

A Monthly subscription renews approximately monthly.

An Annual subscription renews approximately annually.

The price, billing period, and renewal terms presented immediately before purchase are the controlling terms for that transaction.

Where required by applicable law, we will provide additional renewal notices or disclosures.

7. Prices and Changes to Subscription Prices

Prices may change in the future.

Any new price will be clearly disclosed before it applies to a new subscription.

If we change the price of an existing automatically renewing subscription, we will provide notice as required by applicable law before the new price takes effect.

You may cancel before the applicable renewal if you do not wish to continue at the new price.

Taxes may be added where legally required.

8. Cancellation

You may cancel a paid LinguiLot subscription at any time through the billing management features made available in your account, including the Stripe Customer Portal when applicable.

Cancellation prevents future renewals.

Unless otherwise stated or required by law, cancellation does not immediately terminate access that has already been paid for. Premium access normally continues through the end of the current paid billing period.

Deleting your LinguiLot account is different from canceling a subscription. If you have an active subscription, you should cancel it before requesting account deletion.

Our separate Refund and Cancellation Policy provides additional details.

9. Refunds

Subscription payments are subject to the LinguiLot Refund and Cancellation Policy.

Except where required by law or covered by that policy, subscription charges are generally non-refundable and are not prorated for partially used billing periods.

Nothing in these Terms limits any refund or cancellation right that cannot legally be waived.

10. Book Bonus Access

Certain eligible books published or distributed by Acquire A Lot may include an offer for LinguiLot Book Bonus access.

Book Bonus is an access entitlement and is not a recurring subscription.

A valid LinguiLot account is required to redeem Book Bonus access.

No payment card is required solely to activate Book Bonus access.

For eligible redemptions made under the LinguiLot launch Book Bonus program, successful redemption provides non-expiring access to LinguiLot's published core learning content for the account on which the code was redeemed.

The eligible book and LinguiLot course are separate products. Purchasing a particular book does not determine the lessons or course material shown in LinguiLot.

Book Bonus access is associated with the account that redeems it and is not transferable through the Service.

Book Bonus codes may not be sold, separately resold, publicly distributed, harvested, automated, or used for fraudulent or abusive redemption.

LinguiLot may disable future redemptions of a code or campaign where abuse, public distribution, automated claims, fraud, or another violation is reasonably detected.

A legitimate Book Bonus entitlement already granted under the launch offer will not be removed merely because LinguiLot later changes the publicly available Book Bonus offer.

Book Bonus covers core LinguiLot learning functionality. Future separately priced services involving human instruction, unusually high variable costs, separate products, or other services expressly excluded from core access are not automatically included.

Book Bonus has no cash value and cannot be exchanged for cash.

11. Multiple Types of Access

An account may have more than one source of access.

For example, a user may have both a paid subscription and Book Bonus access.

Canceling or ending one access source does not remove another valid access source.

For example, if you have valid non-expiring Book Bonus access and cancel a paid subscription, your qualifying Book Bonus access may continue.

12. External Book Purchases

LinguiLot may display books and links to third-party retailers such as Amazon, Audible, or other external websites.

Purchases made on external websites are transactions between you and the applicable retailer or seller.

LinguiLot does not process those retailer transactions through the LinguiLot subscription checkout unless explicitly stated otherwise.

Prices, formats, inventory, shipping, availability, and retailer terms may change independently of LinguiLot.

Returns and refunds for purchases completed through an external retailer are governed by that retailer's policies.

Some external links may be affiliate links when clearly disclosed. If an affiliate relationship applies, Acquire A Lot LLC may receive compensation from qualifying purchases without increasing the price charged to you by the retailer.

13. Learning Progress and Results

LinguiLot may track information such as lessons completed, answers, review activity, game results, stories completed, streaks, learning time, and other progress information.

Progress indicators, XP, mastery ratings, placement results, and similar features are educational tools and estimates. They do not guarantee language proficiency or a particular educational, professional, travel, or employment outcome.

14. Speaking Activities and Microphone Access

Certain learning activities may ask you to speak into your device's microphone.

LinguiLot requests microphone access only when you initiate a speaking or recording activity.

In the MVP, recordings used for listen-and-compare speaking activities are designed to remain local to your device by default and to be discarded when you leave the activity.

LinguiLot does not provide an automated pronunciation score in the initial MVP.

If a future feature uploads, stores, or analyzes recordings remotely, LinguiLot will provide appropriate notice and controls before that feature is used.

15. User Responses and Learning Inputs

You may enter answers, short written responses, support requests, feedback, or other information through the Service.

You retain any ownership rights you may have in original content you submit.

You grant Acquire A Lot LLC a limited right to host, process, reproduce, and use your submissions as reasonably necessary to operate, secure, support, and improve LinguiLot.

You should not submit confidential, highly sensitive, financial, medical, or other information that is unnecessary for a language-learning activity.

16. Acceptable Use

You may not:

• use LinguiLot for unlawful purposes;
• attempt to access another user's account or data;
• bypass subscription or entitlement restrictions;
• manipulate learning, billing, redemption, or progress systems through unauthorized technical means;
• automate Book Bonus redemption or account creation without authorization;
• scrape, bulk-download, or systematically extract LinguiLot content except as permitted in writing;
• reverse engineer or interfere with security controls except where such restrictions are prohibited by applicable law;
• distribute malware or harmful code;
• disrupt the Service or create unreasonable infrastructure load;
• impersonate another person;
• use LinguiLot content to create or operate a substantially competing commercial learning product without authorization;
• reproduce, sell, republish, or commercially distribute LinguiLot lessons, stories, audio, artwork, games, or other protected content without permission.

17. Intellectual Property

LinguiLot, including its software, course structure, lessons, exercises, stories, text, graphics, audio, game assets, characters, illustrations, interfaces, logos, trademarks, and other original material, is owned by Acquire A Lot LLC or used under appropriate licenses.

These Terms provide you with a limited, personal, non-exclusive, non-transferable, revocable right to use LinguiLot for your own lawful learning purposes.

No ownership rights are transferred to you.

18. Feedback

If you voluntarily provide suggestions, ideas, bug reports, or product feedback, you permit Acquire A Lot LLC to use that feedback to develop, modify, operate, or improve LinguiLot without an obligation to compensate you.

This does not give Acquire A Lot LLC ownership of unrelated original works you submit.

19. Third-Party Services

LinguiLot relies on third-party technology providers for functions such as hosting, authentication, databases, payment processing, email delivery, analytics, and external retail links.

Those services may occasionally experience interruptions or technical problems outside LinguiLot's direct control.

Third-party services may also be subject to their own terms and privacy policies.

20. Service Availability and Changes

We work to make LinguiLot reliable but do not guarantee uninterrupted or error-free operation.

Features may be added, modified, temporarily suspended, replaced, or discontinued as the Service evolves.

We may perform maintenance or make security changes without advance notice where reasonably necessary.

We will make reasonable efforts to avoid unnecessary loss of learner progress.

21. Educational Disclaimer

LinguiLot provides educational language-learning content for general informational and instructional purposes.

Examples involving travel, health, emergencies, employment, financial transactions, culture, or other real-life situations are language-learning material and are not professional medical, legal, financial, safety, immigration, or other professional advice.

Users should obtain appropriate professional assistance when dealing with real-world situations requiring specialized advice.

22. Account Suspension and Termination

We may restrict, suspend, or terminate an account where reasonably necessary because of:

• fraud;
• unauthorized payment activity;
• serious or repeated violations of these Terms;
• abusive Book Bonus redemption;
• attacks on the Service or other users;
• unlawful conduct;
• security threats; or
• other material misuse.

Where reasonable, we may provide notice and an opportunity to resolve the issue.

We may act immediately when necessary to protect users, payment systems, security, intellectual property, or the Service.

23. Account Deletion

You may request deletion of your LinguiLot account through available account controls or by contacting support@linguilot.com.

We may need to verify your identity before completing a deletion request.

Account deletion may remove your profile, learning progress, review history, preferences, and other account data as described in our Privacy Policy.

Certain records may be retained when required for legal, security, fraud-prevention, accounting, or payment purposes.

24. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LINGUILOT IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

ACQUIRE A LOT LLC DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.

WE DO NOT GUARANTEE THAT USING LINGUILOT WILL RESULT IN A PARTICULAR LEVEL OF LANGUAGE PROFICIENCY OR OTHER OUTCOME.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACQUIRE A LOT LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF LINGUILOT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACQUIRE A LOT LLC'S TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATING TO A PAID LINGUILOT SERVICE WILL NOT EXCEED THE GREATER OF:

1. the amount you paid directly for LinguiLot during the twelve months preceding the event giving rise to the claim; or
2. US $100.

These limitations do not apply where liability cannot legally be limited.

26. Indemnification

To the extent permitted by applicable law, you agree to be responsible for losses or claims resulting from your unlawful use of LinguiLot or your material violation of these Terms.

This provision does not require you to indemnify Acquire A Lot LLC for its own unlawful conduct.

27. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except to the extent mandatory consumer protection laws of another jurisdiction apply.

Before filing a formal claim, you and Acquire A Lot LLC agree to make a reasonable good-faith effort to resolve the dispute informally.

Unless applicable law gives you the right to bring a claim elsewhere, legal proceedings relating to these Terms may be brought in a court of competent jurisdiction serving Sheridan County, Wyoming, or an applicable federal court.

Nothing in these Terms removes consumer rights that cannot legally be waived.

28. Changes to These Terms

We may update these Terms as LinguiLot changes.

When changes are material, we will provide reasonable notice through the Service, by email, or by another appropriate method.

The updated Terms will display a new effective or last-updated date.

Where applicable law requires affirmative consent to a material change, we will request it.

29. Electronic Communications

By using LinguiLot, you agree that account-related notices, security communications, billing information, and other transactional communications may be provided electronically.

Marketing communications are optional where required and may be unsubscribed from without preventing necessary transactional messages.
